About these Terms
These Terms of Service are an agreement between the business you represent ("you") and Webytag Technologies LLC, a Wyoming limited liability company ("we", "us"), which provides ClientCee CRM ("ClientCee"). You accept them when you create a workspace, start a free trial or complete a checkout.
The Refund and Cancellation Policy, the Acceptable Use Policy and the Data Processing Addendum are part of these Terms. The Privacy Policy explains how we handle personal information.
For businesses only
ClientCee is built for businesses, such as agencies and the teams they work with. It is not for personal, family or household use. The person who accepts these Terms must be 18 or over and allowed to accept them on behalf of the business.
Your workspace and team
- Give accurate information when you sign up and keep it up to date.
- Keep sign-in details safe, including the sign-in codes we email you. Each person uses their own sign-in.
- The workspace owner decides who joins the workspace and what they can see, and is responsible for what invited team members and clients do in it.
- Tell us at once at support@clientcee.com if you think someone has used your workspace without permission.
Plans, trials and billing
- Prices are in US dollars and do not include taxes unless stated. Each plan includes a set number of users, including the owner, as shown on the pricing page.
- A free trial needs a payment card. Its length is shown at checkout. When the trial ends, the card is charged for the plan you chose unless you cancel before then.
- Paid plans renew automatically every month or every year, depending on the billing you chose, until you cancel. We charge the card on file through our payment provider, Stripe.
- If a renewal payment fails, we may pause access to the workspace until it is paid.
- If we change a plan's price, we tell you at least 14 days before the new price applies to your next renewal.
Changing plans
A move to a plan that costs more, or from monthly to yearly billing, starts immediately. We charge the prorated difference for the rest of the current period straight away. A move to a plan that costs less, or from yearly to monthly billing, starts at the end of the paid period; until then you keep the plan you paid for. Before moving to a plan with fewer users, the team must fit that plan's user limit.
Cancelling
The workspace owner can cancel at any time in Billing, with Cancel subscription. Access continues until the end of the paid period (or the end of the free trial) and no further payments are taken. After that the workspace closes. We keep its data for 30 days in case you return or want an export, then delete it. Backups roll off within 14 days after that.
No refunds
All fees are not refundable, including prorated upgrade charges, unused time and unused users, except where the law requires it. The Refund and Cancellation Policy explains this in more detail.
Your data
You own the data you put into ClientCee. You give us the rights we need to host, copy, process and display it in order to provide ClientCee to you. How we handle the personal data in your workspace is set out in the Data Processing Addendum.
You are responsible for having the right to store the personal data of your contacts, clients and staff in ClientCee, and for telling them how you use it. You can export records from ClientCee where it offers an export, and you can ask us for an export before your data is deleted.
Acceptable use
Use ClientCee lawfully and follow the Acceptable Use Policy, including its rules for email, WhatsApp and social messages. We may remove content or suspend accounts that break it.
Other services you connect
Services you choose to connect, such as Google, Microsoft, Slack, Meta and the payment gateways you use to collect from your own clients, work under their own terms and under your own accounts with them. Use of Google services through ClientCee is also subject to the Google API Services User Data Policy. You can disconnect these services at any time. We are not responsible for services we do not run.
Changes to ClientCee
We keep improving ClientCee and may add, change or remove features. If we remove a major feature that your plan includes, we tell you beforehand.
Suspension and ending these Terms
We may suspend access if a payment is overdue, if these Terms are broken, or if there is a risk to the security of ClientCee or other customers. We may end these Terms if they are broken seriously or repeatedly. You can end them at any time by cancelling. Sections that by their nature should last beyond the end, such as those on data, refunds, liability and disputes, continue to apply.
Who owns what
We own ClientCee, including its software, design and brand. You own your data. If you send us ideas or suggestions, for example through Suggest a feature, we may use them freely without paying you or naming you.
Disclaimers
ClientCee is provided "as is" and "as available". To the extent the law allows, we make no promises beyond these Terms, including that ClientCee will be uninterrupted or error free. Keep your own copies of records that matter to your business.
Limitation of liability
To the extent the law allows, neither we nor our suppliers are liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data. Our total liability for all claims relating to ClientCee is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
Your responsibility to us
You will defend us against, and pay for, claims made by others that arise from your data, from your use of ClientCee in breach of these Terms, or from your dealings with your own clients and staff.
Law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws rules. Any dispute relating to ClientCee or these Terms will be decided by the state courts of Natrona County, Wyoming, or the United States District Court for the District of Wyoming, and both of us accept the jurisdiction of those courts.
Changes to these Terms
We may update these Terms. For a material change we email the workspace owner at least 14 days before it takes effect, and the date at the top of this page changes. If you keep using ClientCee after that, the updated Terms apply. If you do not agree, you can cancel before they take effect.
General
- These Terms, with the documents they include, are the whole agreement between us about ClientCee.
- If any part cannot be enforced, the rest still applies.
- If we do not enforce a right straight away, we do not give it up.
- You may not transfer these Terms without our written consent. We may transfer them to a company that takes over ClientCee.
- Neither of us is responsible for delays caused by events beyond reasonable control.
- We send notices to the workspace owner's email address. Send notices to us at support@clientcee.com.
